Welcome to Planur ("Company," "we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, software, and services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.
1. Eligibility
You must be at least 18 years of age or have the legal authority to enter into a binding agreement to use the Service.
2. Description of Service
The Service provides software that allows users to create, edit, and manage seating layouts, floor plans, table arrangements, chair placements, and related event planning materials.
The Service is intended as a planning tool only. Users are solely responsible for verifying measurements, venue restrictions, occupancy limits, fire code compliance, accessibility requirements, and event safety.
3. User Accounts
To access certain features, you may be required to create an account.
You agree to:
(a) Provide accurate information.
(b) Maintain the confidentiality of your login credentials.
(c) Notify us immediately of unauthorized use of your account.
(d) Be responsible for all activity occurring under your account.
We reserve the right to suspend or terminate accounts that violate these Terms.
4. License to Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or business event planning purposes.
You may not:
(a) Copy, reproduce, distribute, or sell the software.
(b) Reverse engineer or attempt to discover the source code.
(c) Modify or create derivative works of the software.
(d) Use automated tools to scrape or harvest data.
(e) Interfere with the operation or security of the Service.
(f) Use the Service for unlawful purposes.
5. User Content
You retain ownership of the layouts, event plans, logos, images, and other content you upload.
By uploading content, you grant us a non-exclusive license to host, process, display, and transmit your content solely for the purpose of providing the Service.
You represent that you own or have permission to use all uploaded materials.
You may not upload content that:
(a) Violates intellectual property rights.
(b) Is defamatory, obscene, or unlawful.
(c) Contains malicious software or harmful code.
6. Accuracy of Layouts
The software generates layouts based on information provided by the user.
We do not guarantee:
(a) Exact dimensions.
(b) Seating capacity.
(c) Compliance with building or fire codes.
(d) ADA accessibility compliance.
(e) Suitability for any specific venue.
Users are responsible for verifying all layouts before implementation.
7. Payments and Subscriptions
If the Service includes paid plans
(a) Fees are due in advance.
(b) Subscription fees automatically renew unless canceled before the renewal date.
(c) Prices may change upon advance notice.
(d) All payments are non-refundable unless otherwise required by law or stated in a separate refund policy.
Failure to pay may result in suspension or termination of access.
8. Intellectual Property
The Service, including its software, design, graphics, text, logos, databases, and code, is owned by, or licensed to, the Company and is protected under United States copyright, trademark, and other intellectual property laws.
Except as expressly permitted, no portion of the Service may be copied or reused without our written permission.
9. Availability
We strive to keep the Service available but do not guarantee uninterrupted or error-free operation.
We may:
(a) Modify features.
(b) Suspend access.
(c) Perform maintenance.
(d) Discontinue portions of the Service without liability
10. Third-Party Services
The Service may integrate with third-party providers.
We are not responsible for:
(a) Third-party websites.
(b) Payment processors.
(c) Cloud hosting providers.
(d) External software or services.
Your use of third-party services is governed by their own terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR EVENT CANCELLATIONS ARISING FROM USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF:
(A) THE AMOUNT PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
(B) ONE HUNDRED U.S. DOLLARS (US $100).
SOME STATES DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH CASES, LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
13. Indemnification
You agree to defend, indemnify, and hold harmless the Company, its owners, officers, employees, contractors, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from:
(a) Your use of the Service.
(b) Your uploaded content.
(c) Your violation of these Terms.
(d) Your violation of any law or third-party rights.
14. Privacy
Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and protect personal information.
15. Termination
We may suspend or terminate your access immediately if you violate these Terms or engage in fraudulent, abusive, or unlawful conduct.
Upon termination, your license to use the Service immediately ends.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.
17. Venue
Any legal action arising out of these Terms shall be brought exclusively in the courts located in Lancaster County, Pennsylvania, or the United States District Court for the Middle District of Pennsylvania and each party consents to the jurisdiction of those courts.
18. Force Majeure
The Company shall not be liable for delays or failures resulting from events beyond its reasonable control, including natural disasters, acts of government, pandemics, labor disputes, internet outages, cyberattacks, or failures of third-party service providers.
19. Changes to Terms
We may update these Terms from time to time. Updated Terms become effective upon posting on the website. Continued use of the Service constitutes acceptance of the revised Terms.
20. Severability
If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force and effect.
21. Entire Agreement
These Terms constitute the entire agreement between you and the Company regarding the Service and supersede all prior agreements relating to the subject matter.
